The completion of the subscription agreement shall be implemented after the signing of the subscription agreement.
Assuming that the conversion is exercised at the initial conversion price of HK $0.166, a maximum of 24096385 conversion shares will be allotted and issued, equivalent to (I) approximately 19.89% of the total number of shares in issue at the date of the announcement; and (ii) approximately 16.59% of the issued shares as a result of the issue of the conversion shares.
The conversion shares will be allotted and issued by the company in accordance with the general authority. Under the General mandate, the Company is authorized to issue up to 24226404 shares (adjusted after the share consolidation and recapitalization came into effect on 13 December 2023) until the General mandate is revoked, amended or expired. The company has not used any general license prior to the date of the subscription agreement.
